The following terms will apply for Technical/Field/Training service(s) to be provided by any Micro-Watt Technical/Field or Training Service Representative(s) at the request of the purchaser.



1. RATE SCHEDULE:

REGULAR HOURLY SERVICE RATES (CDN$)
A) Shop work - $ 89.00/hour
B) On-site work - $ 99.00/hour
    (start-up, commissioning, inspection, etc.)
C) Travel time - $ 99.00/hour
D) Mileage - $.50/km

Regular Working Day: is defined as a calendar day other than a Saturday, Sunday or statutory Holiday.
Regular Hours: are defined as the first eight (8) hours of Time worked on any given day. Regular shop business hours: Monday to Friday - 7:30 a.m. to 5:00 p.m.



2. LABOUR COMPENSATION

The compensation for time worked shall be calculated in accordance with the following:
a) Regular work hours on a regular work day will be compensated at the applicable hourly rate.
b) All time worked in excess of regular work hours on a regular workday will be compensated at one and one half times (1.5) the applicable hourly rate.
c) All time worked on a Saturday or Sunday for regular work hours will be compensated at one and one half times (1.5) the applicable hourly rate.
d) All time worked on a statutory holiday observed by the province of Alberta in Canada will be compensated at two times (2) the applicable hourly rate.



3. TRAVEL & LIVING COSTS

The purchaser shall reimburse Micro-Watt Controls for all travel and living costs reasonably and properly incurred by Micro-Watt and its personnel. The charges incurred will be billed to and payable by the purchaser.

Where agreed in writing, the purchaser can provide lodging and meals (Site camp) for Micro-Watt personnel, which will negate charges for living costs, other then where required during travel.



4. GENERAL

a) When working at the job site specified by the purchaser, the purchaser will provide Micro-Watt personnel adequate safety and security.
b) All time engaged in travel time shall be compensated in accordance with paragraph #2
c) All standby time incurred, travel related or other wise, while at the job site designated by the purchaser shall be compensated in accordance with paragraph # 2.



5. TAXES AND CUSTOMS DUTIES

The hourly rates stated in paragraph one (1) are deemed to exclude any and all Canadian and/or Foreign, Federal, Provincial, State, District and /or local customs duties and excise, goods and services, sales and/or value added tax. To the extent that any such custom duties and / or tax is properly chargeable on the supply services provided by Micro-Watt under this schedule and the purchase order/Contract Agreement between the purchaser and Micro-Watt, the purchaser shall pay customs duties and/or tax as an addition to payments otherwise due to Micro-Watt under this schedule and the purchase order/contract.



6.VALIDITY

The above schedule is subject to change without notice, unless otherwise agreed to in writing.
